Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software products, and services (collectively, "Services") provided by Skystride LLC ("Skystride", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Services

Skystride provides custom software development, technical consulting, and software-as-a-service ("SaaS") products. Specific deliverables, timelines, and fees for custom development engagements are governed by a separate Statement of Work ("SOW") signed by both parties. SaaS products are provided on a subscription basis as described on the relevant product page.

2. Eligibility and Accounts

The Services are intended for users who can form legally binding contracts under applicable law. To access certain Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and current information and to notify us promptly of any unauthorized access.

3. Fees and Payment

Fees for the Services are described on our pricing page or in your SOW. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as expressly stated in our Refund Policy. Custom development fees are invoiced according to the milestones or schedule set out in the applicable SOW. We use third-party payment processors, including Stripe, to handle payments; your use of those services is subject to their respective terms.

If a payment is not received when due, we may suspend or terminate your access to the Services and may charge interest on overdue amounts at the lesser of 1.0% per month or the maximum amount permitted by law.

4. Acceptable Use

You agree not to: (a) use the Services in violation of any applicable law or regulation; (b) interfere with or disrupt the Services or the servers and networks supporting the Services; (c) attempt to gain unauthorized access to any part of the Services or to other accounts; (d) use the Services to transmit malware, spam, phishing content, or any harmful content; or (e) reverse engineer, decompile, or copy the Services except as expressly permitted by law or by these Terms.

5. Intellectual Property

All intellectual property rights in the Services, including software, designs, content, and documentation, remain the property of Skystride or its licensors. For custom development engagements, ownership of deliverables is governed by the applicable SOW. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription term.

You retain all rights to data and content you submit to or generate through the Services ("Customer Data"). You grant us a limited license to host, process, and use Customer Data solely as needed to provide and improve the Services.

6. Confidentiality

Each party will protect the other's confidential information using the same degree of care it uses to protect its own confidential information of similar nature, but no less than a reasonable degree of care, and will not disclose such information except as necessary to provide the Services or as required by law.

7. Warranties and Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Skystride's total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amount paid by you to Skystride in the twelve (12) months immediately preceding the event giving rise to the claim. In no event will Skystride be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Skystride and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services in violation of these Terms or applicable law.

10. Termination

You may terminate your subscription at any time through your account settings or by contacting us at [email protected]. We may suspend or terminate your access to the Services if you breach these Terms or fail to pay applicable fees. Upon termination, your right to use the Services will cease immediately. Sections of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Sheridan County, Wyoming, and you and Skystride consent to the exclusive jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
